PEBBLECREEK SINGLES BY-LAWS

SECTION 1 NAME AND PURPOSE

 

1.01.    The name of the organization is PebbleCreek Singles (the “Club”).

 

1.02. The purpose of the Club is to provide a venue for PebbleCreek residents to plan, organize and

promote social and recreational activities that are conducive to participation by singles.

 

SECTION 2 AUTHORITY AND LIMITATIONS

 

2.01. The Club is organized, and will operate as, a non-profit organization and will operate in full

compliance with applicable requirements of the PebbleCreek Homeowners Association (the “PCHOA”).

 

2.02. The Club will neither conduct business nor obligate funds in the name of the PCHOA.

 

SECTION 3 MEMBERSHIP

 

3.01. Membership is open to single residents of PebbleCreek, including renters.

 

3.02. Membership in the Club will not be based upon race, color, religion, sex, or national origin.

 

3.03. Membership will commence upon payment of the initial membership dues as provided in Section 5.

Membership will continue so long as payment of Club dues and PCHOA dues are current and will

terminate when either of the above dues falls into arrears.

 

SECTION 4 ORGANIZATION

 

4.01. The Executive Board (the “Board”), will consist of the President, Vice-President, Secretary,

Treasurer, Activity Director, Web Administrator, and Publicity Director. Officers will serve a two-year

term and will be installed and commence duties in accordance with Section 10.

 

4.02. Appointment of committees or individuals to facilitate organization and implementation of social

and recreational activities may be made at the discretion of the President or his or her designee.

 

4.03. The elected and appointed officers will have the authority and responsibility to make decisions

within their spheres of responsibility and to adopt reasonable interim rules and regulations that they deem

appropriate and that are not inconsistent with these by-laws.

 

SECTION 5 DUES AND ASSESSMENTS

 

5.01. Annual dues will be determined after the annual operating budget is established and approved. This

will be done no later than November 30th of the preceding year.

 

5.02. Enrollment during the year will result in the following dues assessments:

a. For renewal of continuing or lapsed memberships at any time, 100 percent of the annual dues.

b. For persons enrolling for the first time, 100 percent of the annual dues if enrolling in the 1st half

of the calendar year and 50 percent of the annual dues if enrolling in the 2nd half.

 

5.03. Annual dues, once paid, are non-refundable.

 

5.04 Participation in Club events and activities in a calendar year requires that a member’s dues be

current and paid in full. A grace period until the March regular meeting is allowed.

 

5.05. Residents and non-residents of PebbleCreek may participate in Club activities, on a non-recurring

basis, as guests of a Club member, on a space-available basis.

 

SECTION 6 DUTIES OF OFFICERS

 

6.01. President: The President will be the chief administrator of the Club and will be the chairperson for

all Club and Board meetings. The President will be an ex-officio member of all committees, except the

Nominating Committee. At the direction of the Board or a majority of the members present at a regular

or special meeting, the President will appoint special committees.

 

6.02. Vice-President: The Vice-President will assist the President and will, in his or her absence. perform

the duties of the President’s office. The Vice-President’s duties include facilitating membership growth,

advising on relevant aspects of member participation, and keeping a current roster of members.

 

6.03. Secretary: The Secretary will maintain all records of the Club except records that are the

Treasurer’s responsibility. The Secretary will be responsible for any formal correspondence required by

the members of the Board, and will prepare any non-financial reports required by the PCHOA.

 

6.04. Treasurer: The Treasurer will maintain the financial records of the Club and be responsible for

collecting the annual dues of the members and other monies that may be required in association with the

Activity Director’s responsibilities. The Treasurer will pay all bills owed by the Club, and will present a

financial report at each meeting of the Board and at each regular and annual meeting of the membership.

A printed copy will be made available to a member at his or her request. The Treasurer will make

available any financial report required by the PCHOA.

 

6.05. Activity Director: The Activity Director will plan, coordinate and execute any and all social and

recreational activities involving the Club. The Activity Director may perform these duties personally or as

chairperson of an activities committee.

 

6.06. Web Administrator: The Web Administrator will maintain, update, and monitor all aspects of the

Club web site. The content of the web site must be approved by a majority of the Board and the

committees responsible for Web content and design. The Web Administrator will respect the privacy of

Club members and not release any personal information about members to any outside sources without

their specific approval.

 

6.07. Publicity Director: The Publicity Director will obtain input from various sources and will compile,

edit and distribute information as it relates to various Club activities to promote interest in the Club.

SECTION 7 MEETINGS

 

7.01. Regular meetings: Regular meetings will be held the first Sunday of each month. For good cause,

the Board, after giving reasonable notice, may designate a different date for a particular regular meeting.

 

7.02. Annual meeting: The Annual meeting will be held immediately prior to the regular meeting in

January.

 

7.03. Special meetings: Special meetings may be called at any time by the President or by any two

members of the Board.

 

SECTION 8 FISCAL AND FINANCE

 

8.01. All receipts and disbursements will be documented and funds will be maintained in a checking

account. Separate accounting will be maintained for receipts and disbursements relating to Club

operations and for receipts and disbursements relating to member social and recreational activities. The

President, Vice-President, and Treasurer are authorized to sign any check made out against the Club’s

checking account. All expenditures in excess of $500 will require two approval signatures.

 

8.02. The fiscal year will begin on January 1 and end on December 31.

 

8.03. A committee appointed by the President will from time to time upon request of the President

review the Treasurer’s records. At a minimum, a fiscal review will take place whenever the incumbent

Treasurer changes or whenever required by the PCHOA.

 

SECTION 9 CONDUCT OF MEETINGS

 

9.01. The chairperson at any meeting will fairly and reasonably resolve all procedural questions that arise

at the meeting. The decision of the chairperson will be final.

 

SECTION 10 ELECTIONS

 

10.01. The President, at the August regular meeting, will appoint a nominating committee. The

nominating committee will present a slate of officers for each office at the September regular meeting.

Following presentation of the committee’s slate, additional nominations will be taken from the

membership. Upon close of nominations, if there is only one nominee for an office, that person will be

declared elected.

 

10.02. Elections will take place at the October regular meeting. Newly elected officers will assume their

duties at the following January regular meeting.

 

10.03. If any elected office becomes vacant prior to expiration of its term, a member approved by a

majority of the Board will fill such vacancy.

 

SECTION 11 AMMENDMENTS

 

11.01. After notice given at the immediately preceding regular meeting, these by-laws may be amended

by a two-thirds vote of the members present and voting at a regular meeting of the Club. A copy of the

proposed by-laws will be posted on the Club’s web site and, upon reasonable request, a printed copy

provided to requesting members.
